1. Interpretation and Application

These Terms and Conditions apply to all sales of goods by Deyongs Ltd to any purchaser whether as a consumer purchasing via our website www.deyongs.com or as a trade or wholesale customer purchasing through our agents, representatives or directly with our head office.

By placing an order you agree to be bound by these Terms in full.

Where you are acting as a consumer your statutory rights are not affected by these Terms. Where you are acting in the course of business the provisions applicable to trade sales shall apply and any implied consumer protections shall not apply.

No variation of these Terms shall be valid unless expressly agreed in writing by an authorised representative of Deyongs Ltd.

2. Formation of Contract

All orders are subject to acceptance by us.

A contract is formed only when we issue a written acceptance of your order or dispatch the goods.

We may decline to accept any order without giving a reason.

3. Description of Goods

All descriptions, images and specifications of goods on the website or in catalogues, brochures or other materials are for illustrative purposes only.

We reserve the right to make changes to specifications or packaging without notice provided such changes do not materially affect the quality or performance of the goods.

4. Prices and Payment

For consumer orders Prices stated on the website are inclusive of VAT at the applicable rate but exclude delivery charges which are added at checkout. Payment must be made in full at the time of ordering by the payment methods offered on the website.

For wholesale orders All trade prices are exclusive of VAT unless otherwise stated. The minimum order value for wholesale accounts is £300 excluding VAT and carriage. Payment terms for approved credit account customers are thirty 30 days nett from the date of invoice unless otherwise agreed in writing. For non account customers payment is required in full prior to dispatch. We reserve the right to withdraw credit facilities or place any account on hold if payment is overdue or the credit limit is exceeded.

5. Delivery

Delivery shall be made to the address stated in your order. Any dates quoted for delivery are estimates only and time of delivery shall not be of the essence.

Risk in the goods passes to you on delivery. Title to the goods shall remain with Deyongs Ltd until payment in full has been received.

Where the customer arranges collection from our warehouse risk transfers upon collection.

We reserve the right to charge carriage at the prevailing rates unless otherwise agreed in writing.

6. Inspection and Claims

You must inspect the goods immediately upon delivery.

Any claims for shortages, damages or defects must be notified in writing within seven 7 days of receipt of goods.

Failure to notify within this period shall be deemed acceptance that the goods conform to the contract and are free from defects.

7. Returns and Cancellations

Consumers Consumers purchasing via the website have a right to return goods within twenty eight 28 days of receiving them in accordance with the Consumer Contracts Regulations. To cancel you must notify us by email quoting your order number. Goods must be returned in their original packaging and condition at your expense unless the goods are faulty or not as described. We will refund the purchase price and standard delivery costs within 14 days of receiving the returned goods.

Trade customers Trade customers may not return goods unless authorised by Deyongs Ltd. Returns will only be accepted if notified within seven 7 days of delivery and approved in writing. Returned goods must be in perfect saleable condition and accompanied by a returns note referencing the original invoice. Unauthorised returns will not be accepted and may be refused delivery. Where goods are agreed to be faulty we may at our discretion replace, repair or credit the value of the goods.

8. Retention of Title

Ownership of the goods shall not pass to you until we have received payment in full of all sums due in respect of the goods and all other sums owed by you to us.

Until title has passed you must store the goods separately from your own and ensure they remain identifiable as Deyongs Ltd property.

We may at any time before title passes require you to deliver up the goods or may enter your premises to recover them.

9. Liability

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence or for fraud.

Except as expressly provided in these Terms all warranties or conditions implied by law are excluded to the fullest extent permitted by law.

Our total liability for any claim shall not exceed the price paid for the goods giving rise to the claim.

We shall not be liable for any indirect consequential or economic loss including loss of profit revenue or goodwill.

10. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control including but not limited to acts of God war terrorism strikes lockouts pandemic transport disruption fire flood or governmental action.

11. Intellectual Property

All designs images logos text trade marks and other intellectual property relating to Deyongs Ltd and its products remain our sole property.

You shall not reproduce copy or use any such materials without prior written consent.

12. Data Protection and Privacy

We process personal data in accordance with our Privacy Policy available on the website.

By ordering goods you consent to such processing and warrant that all data provided by you is accurate.

13. Termination

We may suspend or terminate any order or account immediately if you fail to make payment when due or commit any breach of these Terms.

Termination shall be without prejudice to our rights or remedies existing at the date of termination.

14. Governing Law and Jurisdiction

These Terms and any dispute arising in connection with them shall be governed by and construed in accordance with the laws of England and Wales.

You and we submit to the exclusive jurisdiction of the courts of England and Wales.

15. General

If any provision of these Terms is held to be invalid or unenforceable the remaining provisions shall remain in full force and effect.

Failure by us to enforce any provision shall not constitute a waiver of that or any other provision.

These Terms constitute the entire agreement between the parties and supersede all prior communications or representations whether oral or written.
